Terms of Service

1. Acceptance of Terms

By accessing or using Plasi ("plasi.io"), you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. Plasi is operated by Plasi Inc. ("we", "us", "our").

2. Description of Service

Plasi is a professional commerce network that connects companies, buyers, partners, professionals, creators, and consumers. The platform facilitates business relationships, opportunity matching, order management, commission tracking, and third-party integrations.

3. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. You must be at least 18 years old to use Plasi.

4. Participant Profiles

Users may create one or more participant profiles (Company, Buyer, Partner, Professional, Creator, or Consumer). You represent that you have the authority to act on behalf of any business entity you register. Profile information may be visible to other users on the platform.

5. Third-Party Integrations

Plasi allows you to connect third-party services (e.g., Shopify, QuickBooks, Stripe) via OAuth or API keys. By connecting an integration, you authorize Plasi to access and sync data from those services on your behalf. You may disconnect integrations at any time. We are not responsible for the availability or accuracy of third-party services.

6. Orders and Transactions

Plasi facilitates order management between parties but is not a party to transactions between users. Disputes between buyers and sellers should be resolved directly between the parties. Commission tracking and attribution are informational and do not constitute a binding payment obligation by Plasi.

7. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Misrepresent your identity or authority
• Interfere with the platform's operation or security
• Scrape, crawl, or harvest data without authorization
• Upload malicious content or attempt to gain unauthorized access

8. Intellectual Property

You retain ownership of content you upload. By posting content, you grant Plasi a non-exclusive license to display and distribute it within the platform. The Plasi name, logo, and platform code are our property.

9. Limitation of Liability

Plasi is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages arising from your use of the platform. Our total liability is limited to the fees you have paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account for violation of these terms. You may delete your account at any time through your account settings. Upon termination, your data will be handled in accordance with our Privacy Policy.

11. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.

12. Marketplace Payments and Escrow

Card payments on Plasi are collected by Plasi through Stripe and held in escrow. Funds are released to the seller 14 days after the carrier reports the order delivered, or sooner when the buyer confirms receipt, less Plasi's platform fee and any commissions owed to affiliates on that order. Funds stay held while a return or a dispute is open. While funds are held, the seller may refund the buyer in full. Sellers receive payouts to their connected Stripe account; Plasi does not hold funds longer than the escrow and payout rules described in the product. Off-platform settlement is at the parties' own risk.

13. Disputes

A buyer may open a dispute on a paid order while funds are held. Funds stay held until the seller responds and Plasi resolves the dispute by refunding the buyer, releasing funds to the seller, or closing the dispute. Plasi's decision is final for the escrowed funds; it does not limit either party's rights under applicable law. Reports of counterfeit goods, fraud or abuse may lead to removal of listings, suspension or a permanent ban.

14. Affiliate Programs, Commissions and Payouts

Sellers set their own affiliate terms: the commission rate (per program, per listing, or per creator), which listings are eligible, the attribution window and the hold period after delivery. By joining a program a creator accepts the rate the seller has set; rates are changed only by the seller in their program settings. Commissions are earned when the attributed order is paid, become payable after delivery and the seller's hold period, and are reversed if the order is refunded before payout. Plasi withholds commissions from the seller's settlement and pays them to the creator's connected Stripe account on the creator's chosen schedule. Creators must identify sponsored or affiliate content where the law requires it.

15. Plans, Boosts and Sponsored Placement

Joining Plasi is free and no subscription is required. Sellers pay a platform fee on each sale paid through Plasi: 5.3% all-in on the Free plan (it already includes card processing); on the paid plans (Pro ($39.99/month) and Enterprise ($79.99/month)) Plasi takes 0% and the seller pays only Stripe's processing at cost. The paid plans are optional. Buyers pay no platform fee on card payments. Paying in crypto adds 3.5%, and paying by bank wire (orders of $3,000 or more) adds up to 1.5%. The fee for an order is fixed when its payment is started. Paid seller plans are billed monthly through Stripe until cancelled; cancelling returns the account to the Free plan at the end of the billing period. Boosts buy sponsored placement for a listing for a fixed number of days and are labelled "Sponsored" wherever they appear, including search results. Boosts are optional paid placement: $5 per day per listing, plus $5 per day for search keywords, for 1 to 30 days. Boosts are non-refundable once live.

16. Samples and Trade Terms

Sellers may offer samples at a price and quantity they set, and publish trade terms such as lead time, deposit and payment terms. These are the seller's terms; buyers may message a seller to ask for different terms, and any change takes effect only when the seller updates their listing or storefront settings. Sample orders are orders under these Terms and enjoy the same escrow protection.
